The confirmation statement CS01 records details held about a company's directors, shareholders and registered address, including share value, trading status and company Standard Industrial Classification (SIC) code . It ensures that the information held is up-to-date and correct.
Every company, including dormant and non-trading companies, must file a confirmation statement at least once a year covering the preceding 12-months.
You have 14 days to file from the end of the 12-month statement period, and filing within the 14-day window ensures your date stays the same.

If nothing has changed since your last confirmation statement you still need to file ‘no updates’ on your CS01 form to confirm that all the previous details are correct.

As part of the Economic Crime and Corporate Transparency Act 2023, companies are now required to include a statement of lawful purpose to declare that they are carrying out legitimate business activities and operating under the law.
From March 2024 companies are also required to provide a registered email address which is frequently checked by the relevant people within the company to ensure they don’t miss notifications.
If your company details change, you don’t need to update your confirmation statement immediately, you can wait until the next one is due. However, to avoid incorrect information appearing on the public register, it is best to file early.
Note that this will trigger a new 12-month period, which will change the due date of your next confirmation statement. However, you can update your confirmation statement as many times as needed within the 12-month period.
While there are no direct late penalty fines for overdue confirmation statements, they do create automatic reminders which are sent to company officers, and companies are marked with a red flag or warning message which is publicly viewable on the Companies House website.
You must still update your confirmation statement if it is overdue, as ignoring repeated warnings or failing to file could lead to your company being struck off the register, prosecution, and fines of up to £5000 for each company officer.
